These Terms govern your use of the websites and services of CareBoss, Inc.("CareBoss," "we," "us"). By using our services, you agree to these Terms.
1. What CareBoss is — and isn't
CareBoss is a finder. We introduce California home care agency owners to prospective buyers, sellers, or lenders. Our role is strictly limited to making the introduction. CareBoss is not a broker, dealer, agent, advisor, negotiator, or fiduciary for any party, and does not act as one. We do not negotiate any term of a transaction, including price, structure, or financing; we do not advise on the value of any business; we do not prepare, review, or draft transaction documents or conduct due diligence for any party; we do not handle, hold, or transmit any funds or securities; and we are not a licensed real estate broker, business broker, or securities broker-dealer. CareBoss is not a partner in your transaction, does not take an ownership or operational role in any business, and does not enter into revenue-share, profit-share, or joint-venture arrangements of any kind.
2. Eligibility & accounts
You must be 18+ to use our services. If you create an account, you're responsible for keeping your credentials secure and for activity under your account, and for providing accurate information.
3. Introductions
If you tell us you're interested in buying, selling, or financing the acquisition of a home care agency, CareBoss may introduce you to a prospective buyer, seller, or lender (an "Introduced Party"). An introduction consists of providing contact information and facilitating an initial contact — nothing more.
Any factual information we share — such as a business's approximate revenue, geographic region, or an owner's general willingness to consider seller financing — is provided for informational purposes only. It is not a valuation, offer, or recommendation, and any calculator, worksheet, or similar tool we provide is a generic illustration, not tailored advice.
Introductions are non-exclusive. CareBoss does not restrict you from working with other sources, and nothing here obligates you to pursue or complete any transaction.
4. Finder's fee
If you close a transaction with an Introduced Party, CareBoss may be entitled to a finder's fee. The fee is earned only if a transaction actually closes — never for the introduction alone — and is set out in a separate written Finder's Fee Agreement signed with the party paying it. A finder's fee may be payable by the buyer, the seller, or both, when disclosed to all parties.
You and your own advisors are solely responsible for determining price, structure, financing, and all other terms of any transaction. CareBoss gives no legal, tax, financial, or valuation advice.
5. Acceptable use
Don't misuse the services: no unlawful, infringing, or harmful activity; no scraping or unauthorized access; no false information; and no use that violates applicable privacy or marketing laws.
6. Disclaimers
The services are provided "as is" without warranties of any kind. We do not warrant that the services will be uninterrupted or error-free, or that any introduction will result in a transaction or revenue.
7. Limitation of liability
To the fullest extent permitted by law, CareBoss will not be liable for any indirect, incidental, or consequential damages, or for the conduct, representations, or performance of any buyer, seller, or lender we introduce. Our total liability for any claim is limited to any finder's fee actually paid to CareBoss on the transaction giving rise to the claim.
8. Indemnification
You agree to indemnify CareBoss against claims arising from your use of the services or your violation of these Terms.
9. Governing law & changes
These Terms are governed by the laws of the State of California. We may update these Terms; continued use after changes means you accept them.
